1. Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the PDFalot website, applications, and services (collectively, the "Service") operated by PDFALOT Proprietary Limited ("PDFalot", "we", "us", or "our"), a company incorporated in South Africa with its registered address at Gladstone Drive, Panorama, Durban 4125.

By accessing, registering for, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Notice. If you do not agree, you must not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance of the revised Terms.

2. Definitions

  • "User", "you" or "your" means any person or entity that accesses or uses the Service.
  • "Account" means the registered user profile created to access certain features.
  • "Content" means any files, text, images, documents, or other materials uploaded, generated, or processed through the Service.
  • "AI Features" means any artificial-intelligence-powered functionality, including chat, summarisation, translation, and smart processing.
  • "Free Plan" and "Premium Plan" refer to the service tiers described on our Pricing page.
  • "Paddle" means Paddle.com Market Limited, our online reseller and Merchant of Record.

3. Eligibility & Authority

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to enter into these Terms. If you are using the Service on behalf of a business or organisation, you represent and warrant that you have authority to bind that entity and that the entity accepts these Terms.

You agree to provide accurate, current, and complete information when registering or using the Service, and to keep that information updated.

4. Description of the Service

PDFalot provides browser-based and cloud-assisted tools for creating, editing, converting, merging, splitting, compressing, translating, summarising, signing, and interacting with PDF documents using AI. The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or compatible with every device or file format.

We reserve the right to modify, suspend, or discontinue any part of the Service, including feature availability or limits on the Free Plan, at any time with reasonable notice where practicable.

5. Accounts & Security

You may use the Service without an Account for limited free previews. Certain features (such as subscription management, saved history, and extended AI usage) require Account registration. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

You must notify us immediately if you suspect any unauthorised use of your Account or any other security breach. We will not be liable for any loss or damage arising from your failure to safeguard your login information.

6. Acceptable Use & Prohibited Conduct

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to, and not to permit others to:

  • Use the Service in any way that violates applicable local, national, or international law or regulation, including sanctions, export controls, or data protection laws.
  • Upload, transmit, or process Content that is unlawful, defamatory, obscene, fraudulent, hateful, harassing, violent, sexually explicit, or otherwise objectionable.
  • Infringe or misappropriate any intellectual property, privacy, publicity, or other proprietary rights of any third party.
  • Send spam, unsolicited advertising, phishing, malware, ransomware, viruses, or other harmful or disruptive code.
  • Probe, scan, test, or attack the vulnerability of any system or network, bypass security measures, or attempt to gain unauthorised access.
  • Scrape, spider, harvest, or systematically collect data from the Service without our written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service, except where permitted by law.
  • Circumvent usage limits, license restrictions, or billing mechanisms.
  • Resell, redistribute, or commercially exploit the Service without a written agreement with us.

7. AI Features, Inputs & Outputs

Our AI Features generate responses, summaries, translations, and other outputs based on your prompts and uploaded documents. These outputs are generated automatically and may be inaccurate, incomplete, or inappropriate for your specific circumstances. You are solely responsible for reviewing, verifying, and validating any AI output before relying on it or distributing it.

Specifically, you must not use AI Features to:

  • Create, distribute, or promote illegal content, deepfakes, disinformation, hate speech, terrorism-related material, or malware.
  • Attempt to jailbreak, manipulate, or exploit the AI models.
  • Generate professional advice (legal, medical, financial, tax, accounting, or investment) without independent verification by a qualified professional.
  • Process sensitive personal data or special-category data unless you have a lawful basis and have assessed the risks.

AI Features are not a substitute for professional advice, and we make no representation that any output is accurate, complete, or suitable for regulated professional use.

8. Intellectual Property

All rights, title, and interest in and to the Service, including software, algorithms, user interfaces, designs, logos, trademarks, and documentation, are owned by PDFALOT Proprietary Limited or its licensors. These Terms do not transfer any ownership rights to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business purposes during the term of your subscription or free access. You may not sublicense, transfer, or resell this licence.

9. User Content & Takedowns

You retain all ownership rights in the Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive licence to host, process, and display that Content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights, consents, and permissions to upload and process your Content, and that doing so does not violate any law or third-party right. You may not upload Content that infringes copyright, trademarks, trade secrets, or other intellectual property rights.

If you believe that Content on the Service infringes your rights, please contact us with a detailed description, proof of ownership, and the location of the infringing material. We reserve the right to remove or restrict Content, suspend accounts, or terminate access for repeated or serious infringement.

10. Payment, Subscriptions & Paddle Merchant of Record

Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns, billing, tax, and invoicing. By subscribing to a Premium Plan, you agree to Paddle's Buyer Terms, which are available at https://www.paddle.com/legal/checkout-buyer-terms.

Premium subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Prices are stated in United States Dollars (USD) and are exclusive of any applicable taxes, which will be calculated and collected by Paddle based on your location. Subscriptions automatically renew unless cancelled before the renewal date.

You can manage or cancel your subscription through the customer portal accessible from your Account page. We reserve the right to suspend or terminate access to Premium features for non-payment or chargeback.

11. Refunds & Cancellations

We offer a 30-day money-back guarantee. If you are not satisfied with your Premium purchase, you may request a full refund within 30 days of your order date. Refunds are processed by Paddle. To request a refund, please visit paddle.net or contact our support team at legal@pdfalot.com. Refund requests are subject to Paddle's Refund Policy, available at https://www.paddle.com/legal/refund-policy.

Cancelling your subscription stops the next renewal; you will continue to have access to Premium features until the end of the current paid period, unless you request a refund during the refund period.

12. Termination & Suspension

We may suspend or terminate your access to the Service, in whole or in part, without prior notice if you: (a) materially breach these Terms; (b) fail to pay subscription fees when due; (c) create a security, fraud, or abuse risk; or (d) repeatedly or seriously violate our policies or applicable laws.

You may terminate your Account at any time by contacting us. Upon termination, your right to use the Service immediately ceases, and we may delete or anonymise your Content and Account data in accordance with our data retention practices. Provisions of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, liability, indemnity, and dispute resolution.

13. Disclaimers, Liability & Indemnity

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

To the fullest extent permitted by law, PDFALOT Proprietary Limited and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the event giving rise to liability, or (b) USD 100. Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, death, or personal injury caused by our negligence.

You agree to indemnify and hold harmless PDFALOT Proprietary Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to your Content, your use of the Service, your violation of these Terms, or your infringement of any third-party right.

14. Privacy & Data Protection

Your privacy is important to us. Our Privacy Notice explains how we collect, use, store, and share your personal data. By using the Service, you consent to the processing of your personal data as described in our Privacy Notice.

We comply with applicable data protection laws, including the South African Protection of Personal Information Act (POPIA) and, where relevant, the General Data Protection Regulation (GDPR). We implement appropriate technical and organisational measures to protect personal data against unauthorised access, alteration, disclosure, or destruction.

15. General Legal Provisions

Governing law: These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.

Jurisdiction: Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of South Africa, and you consent to that venue.

Entire agreement: These Terms, together with our Privacy Notice and any other policies referenced herein, constitute the entire agreement between you and PDFalot regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force majeure: We will not be liable for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, pandemics, strikes, or internet service provider failures.
